Geneviève Helleringer est professeur de droit des affaires à l’ESSEC et à l’université d’Oxford. Docteur en droit privé de l’Université Paris Panthéon Sorbonne et Juris Doctor en common law de Columbia Law School, Geneviève Helleringer a également une formation préalable en économie et management (ESSEC Business School & Chaire LVMH, Sciences Po Paris), doublée d’une expertise en sciences comportementales (MSc Oxford).
Elle a commencé sa carrière au siège de la multinationale Shiseido à Tokyo (1995-6). Elle a ensuite exercé comme avocat d’affaires à New York et Paris, d’abord chez Willkie Farr & Gallagher (1999-2002) puis Freshfields Bruckhaus Deringer (2002-04).

Ses nombreux travaux portent principalement sur la gouvernance et les conflits d’intérêts, ESG, l’actionnariat, le financement des entreprises, et l’ingénierie contractuelle et ont été couronnés par différents prix, dont un Grand Prix de l’Académie des Sciences Morales et Politiques pour l’ouvrages Les Clauses contractuelles (LGDJ, 2012). Geneviève Helleringer est également co-auteur de Operation Law in a Global Context (E Elgar, 2017) et de Transnational Commercial Law (Oxford University Press, 3rd ed, 2023) et co-éditrice du Journal of Financial Regulation (OUP).

Geneviève Helleringer siège au Comité d’Appel de l’Autorité européenne des marchés financiers, de l’Autorité bancaire européenne, et de l’Autorité européenne des assurances. Elle est par ailleurs membre du Conseil d’administration de l’European Corporate Governance Institute (ECGI).

Tri-culturelle et avec une expérience significative en Asie, Geneviève Helleringer participe au débat public via des tribunes (Harvard Corporate Governance Forum, Oxford Business Law Blog), témoignages dans les médias (CNN, Les Echos), auditions parlementaires et groupes de travail.

Conseil aux dirigeants d’entreprise
Geneviève Helleringer accompagne des dirigeants d’entreprises cotées et de PME, françaises et étrangères, dans l’articulation des dimensions stratégiques de leur activité avec le cadre et les outils juridico-économiques.
Elle a aussi conseillé des dirigeants d’émetteurs (Business Objects, Lafarge, Danone, etc.) et de sociétés non cotées (Frans Bonhomme, Bloomberg, etc.) en qualité d’avocate dans des contextes de fusions-acquisitions hostiles ou amicales, introductions en bourse ou LBO (management package, pacte d’actionnaires, contrat d’investissement, financement mezzanine).

Règlement des différends
Geneviève Helleringer est régulièrement auditionnée comme experte devant les juridictions françaises, internationales et arbitrales (notamment la High Court à Londres en 2021 et 2023 sur les dossiers des licences de technologie smartphones portant sur plus de 2 milliards d’euros)
Geneviève Helleringer intervient également comme médiatrice et arbitre. Geneviève Helleringer a agi comme médiatrice dans plus de 50 dossiers sous l’égide de la Fédération du Commerce Coopératif ainsi que pour des groupes internationaux comme Thalès, Saint Gobain ou encore Airbus.


Prof Geneviève Helleringer is a faculty member at ESSEC Business School and Oxford University. She has been a visiting professor at UCLA in 2019 and Columbia in 2023. She received her PhD in Civil Law from the Sorbonne (2010) and her Juris Doctor in Common Law from Columbia Law School (1999). She had previously studied Economics and Management at ESSEC Business School (LVMH Fellow) and Sciences Po Paris. She also holds an MSc in Behavioural Sciences from Oxford.
Before completing her doctoral work, Geneviève worked for Shiseido in Japan, and later practised corporate and commercial law at Willkie Farr & Gallagher in New York and at Freshfields Bruckhaus Deringer in Paris (1999-2004).
Geneviève’s academic research focuses on ESG, stewardship, corporate finance and contract law. She has published on these topics in books and numerous international journals, including the Illinois Law Review, Berkeley Business law Journal, Columbia Journal of European Law, Australian International Law Journal. Her monograph on contractual design (2010) was awarded four prizes and her book Operating Law in a Global Context (2017) is widely used by researchers and practitioners. Genevieve is also co-author of Goode and McKendrick’s Transnational Commercial Law (3rd ed, 2023) and an editor of the Journal of Financial Regulation (Oxford University Press) and of the Oxford Business Law Blog.
Since 2021, Geneviève has been a member of the Board of Appeal for the European Banking Authority, the European Securities Market Authority and the European Insurance and Pensions Authority. Since 2022, she has also been a Board Member of the European Corporate Governance Institute (ECGI).

Advice to Corporate Executives
Geneviève uses her insights from different disciplines and perspectives, as well as excellent interpersonal skills, to assist executives in analysing corporate issues and designing innovative solutions appropriate to the legal and economic context.
She has advised executives of listed companies (e.g., Business Objects, Lafarge, Danone) as well as non-listed companies (e.g., Frans Bonhomme, Bloomberg), as a lawyer, in the context of friendly and hostile take-overs, M&A, IPO or LBO (management packages, shareholder, investment, senior and junior debt contracts).

Dispute Resolution
With a tri-cultural background (French, German and Anglo-American) and extensive experience in Asia, Geneviève assists corporations as an experienced commercial mediator and arbitrator. She has mediated more than 50 cases under the auspices of the French Federation of Commerce or mandated by international corporations such as Thalès, Saint Gobain and Airbus.
Geneviève also regularly acts as an expert. She was cross-examined as an expert witness in the English High Court, including in high value Frand Licence disputes.
